Terms and Conditions

These Terms and Conditions apply to access to and use of this website and, unless otherwise agreed in writing, to commercial dealings between OKIN and business customers relating to products, samples, quotations, tooling, custom manufacturing, and related services.

By using this website, submitting an inquiry or RFQ, requesting samples or quotations, or placing an order that is accepted by OKIN, you acknowledge these Terms and Conditions to the extent applicable to the relevant interaction or transaction.

These Terms are intended primarily for business-to-business transactions and are not designed for consumer sales.

Information on this website is provided for general commercial and technical reference. We make reasonable efforts to keep information accurate and useful, but product descriptions, dimensions, tolerances, materials, performance data, photographs, drawings, certifications, applications, technical content, and other website information may be changed or updated without prior notice.

Website images are illustrative and may not represent the exact appearance, color, texture, packaging, dimensional tolerance, or configuration of the final supplied product.

Customers are responsible for confirming final specifications in the applicable quotation, approved drawing, technical specification, sample approval, order confirmation, or sales contract before production or use.

Material recommendations, application examples, engineering suggestions, technical data, test information, and other guidance are provided in good faith for general reference unless expressly incorporated into a written transaction document.

Actual product performance may depend on formulation, dimensions, tolerances, temperature, pressure, chemicals, weathering, installation, compression, mechanical stress, mating surfaces, storage, service conditions, regulatory requirements, and other application-specific factors.

The customer is responsible for determining whether a product is suitable for its intended application and for carrying out any validation, compatibility testing, qualification, regulatory approval, or final engineering review required for that application.

Submission of an inquiry, RFQ, drawing, sample, specification, forecast, or other information does not create a binding obligation on OKIN to manufacture, reserve capacity, hold inventory, or accept an order.

Quotations may be subject to validity periods, minimum order quantities, tooling charges, material assumptions, technical assumptions, packaging terms, Incoterms®, payment terms, lead times, and other conditions stated in the quotation.

Unless otherwise stated, quotations may be revised where customer specifications change, raw material or energy costs materially change, exchange rates materially change, quantities change, tooling changes are required, or information supplied by the customer is incomplete or inaccurate.

A purchase order submitted by a customer constitutes an offer to purchase and does not bind OKIN until accepted in writing or otherwise confirmed by OKIN through an order confirmation, proforma invoice, sales contract, shipment, or other clear written acceptance.

OKIN may request clarification or correction of technical, commercial, shipping, or payment information before accepting an order.

Any customer terms printed on or incorporated into a purchase order will not automatically override these Terms or an OKIN quotation unless expressly accepted by OKIN in writing.

Prices, currency, validity period, and included or excluded charges will be stated in the applicable quotation, proforma invoice, order confirmation, or sales contract.

Unless expressly included in writing, prices may exclude freight, insurance, import duties, customs charges, destination taxes, bank charges, certification fees, special inspection fees, special packaging, third-party testing, tooling, and other transaction-specific costs.

The customer is responsible for taxes, duties, and charges imposed in the country of import or destination unless the agreed Incoterm or transaction document states otherwise.

Payment method, deposit requirements, payment schedule, credit terms, and banking details will be stated in the applicable quotation, proforma invoice, order confirmation, or sales contract.

Where advance payment or a deposit is required, production lead time may begin only after receipt of the required payment and all necessary approved technical information.

If payment is overdue, OKIN may, to the extent permitted by applicable law and the relevant transaction documents, suspend production, withhold shipment, adjust future credit terms, or require payment before continuing performance.

Minimum order quantities may apply depending on product type, material, process, tooling, packaging, production efficiency, and customer requirements.

For custom extrusion, molding, converting, cutting, or other batch manufacturing, reasonable production quantity variation may occur due to normal manufacturing processes. Any permitted overrun, underrun, or quantity tolerance should be confirmed in the quotation, order confirmation, or other transaction document where relevant.

Final product specifications are determined by the applicable approved drawing, specification, sample, material requirement, order confirmation, or other written transaction document.

Unless otherwise agreed in writing, products may be subject to commercially reasonable manufacturing tolerances appropriate to the material and manufacturing process.

If customer drawings, specifications, samples, or instructions conflict with one another, OKIN may request clarification before production. Production may be delayed until the conflict is resolved.

Changes requested after order acceptance may affect tooling, price, minimum quantity, material usage, lead time, testing, or delivery schedule and may require a revised quotation or written change approval.

Samples may be supplied for evaluation, fit checking, material confirmation, appearance review, qualification, or pre-production approval.

Unless otherwise expressly agreed, sample approval confirms the approved characteristics of that sample but does not eliminate normal manufacturing tolerances or guarantee that every production unit will be visually or dimensionally identical in all respects.

Where sample approval is required, production may not begin until the requested approval is received. Delays in customer approval may extend the delivery schedule.

Many OKIN products are manufactured according to customer drawings, samples, material requirements, dimensions, trademarks, tooling, performance requirements, or other customer instructions.

The customer represents that it has the necessary rights and authority to provide and use any drawings, designs, trademarks, specifications, samples, files, or other materials supplied to OKIN.

OKIN is not responsible for claims arising solely from compliance with customer-owned or customer-specified designs, trademarks, drawings, specifications, or instructions where OKIN did not independently create the allegedly infringing element.

Tooling, moulds, dies, fixtures, gauges, jigs, cutting tools, and other production equipment may be subject to separate charges and separate ownership, maintenance, storage, modification, replacement, and disposal terms.

Payment of a tooling charge does not by itself determine ownership, possession rights, transferability, maintenance obligations, or exclusivity unless these matters are expressly agreed in writing.

Any special tooling arrangements will be governed by the applicable quotation, tooling agreement, order confirmation, or other written agreement.

Products will be packed in OKIN’s standard commercial or export packaging unless special packaging is specified and accepted in writing.

Special labeling, palletization, moisture protection, traceability, customer-branded packaging, returnable packaging, or other packaging requirements may result in additional cost and lead time.

The applicable delivery term, place, transport responsibility, freight responsibility, insurance responsibility, and allocation of risk and cost will be stated in the quotation, proforma invoice, order confirmation, or sales contract.

Where an Incoterms® rule is used, it should be interpreted according to the version stated in the relevant transaction document. If no version is stated, the parties should clarify the applicable version before shipment.

Unless otherwise agreed, the customer is responsible for providing accurate consignee information, import information, delivery instructions, required licenses, and any destination-specific requirements in sufficient time for shipment.

Quoted or estimated lead times generally depend on receipt of required payment, final specifications, approved drawings or samples, material availability, tooling readiness, production capacity, testing requirements, and shipping arrangements.

Delivery dates are estimates unless expressly stated as firm dates in a written agreement.

OKIN will make reasonable efforts to meet agreed schedules but will not be responsible for delays caused by circumstances outside its reasonable control, customer changes, delayed approvals, late payment, incomplete information, logistics disruption, customs issues, carrier delay, or force majeure events.

Risk of loss or damage transfers in accordance with the agreed Incoterm or other written delivery term.

Ownership or title to goods will transfer as provided in the applicable transaction documents and applicable law. Where permitted by law and expressly stated in the transaction documents, OKIN may retain title until payment has been received in full.

Customers should inspect delivered goods promptly after receipt for quantity, visible damage, packaging condition, and apparent non-conformity.

Any claim should include sufficient information for evaluation, such as purchase order number, product identification, quantity affected, photographs, measurements, application conditions, test data, and a clear description of the alleged issue.

Claim periods, inspection requirements, acceptance criteria, and procedures may be specified in the applicable quotation, specification, quality agreement, order confirmation, or sales contract.

Failure to provide reasonable cooperation or evidence may prevent OKIN from properly investigating a claim.

Unless a different written warranty is provided for a specific transaction, OKIN warrants that products will materially conform to the agreed specifications at the time risk passes to the customer, subject to normal manufacturing tolerances and the terms of the relevant transaction documents.

Warranty does not apply to defects or failures caused by misuse, improper installation, improper storage, unauthorized modification, unsuitable mating components, abnormal operating conditions, chemical incompatibility not disclosed to OKIN, excessive heat or pressure, mechanical damage after delivery, normal wear, or use outside agreed conditions.

Where a valid warranty claim is established, OKIN may, as appropriate and subject to applicable law and the transaction documents, repair, replace, rework, credit, or refund the affected non-conforming goods.

Products may not be returned without prior written authorization from OKIN.

Custom-made, customer-specific, cut-to-length, molded-to-order, specially packaged, specially labeled, or otherwise non-standard products may not be cancellable or returnable once material has been purchased, tooling work has begun, production has started, or other non-recoverable costs have been incurred.

If OKIN accepts a cancellation or change request, the customer may be responsible for completed work, raw materials, tooling, subcontracting, packaging, testing, engineering, administrative costs, and other reasonable non-recoverable expenses.

OKIN will not be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil disturbance, governmental action, sanctions, embargoes, labor disputes, utility interruption, transportation disruption, port congestion, customs delay, cyber incidents, raw material shortage, supplier failure, or other comparable events.

During a force majeure event, affected obligations may be suspended for the duration of the event. The parties should cooperate in good faith to reduce the impact where reasonably possible.

Each party is responsible for complying with laws and regulations applicable to its own activities, including import, export, customs, trade control, sanctions, anti-bribery, and other mandatory compliance requirements.

OKIN may decline, suspend, or cancel a transaction where performance would reasonably expose OKIN to a violation of applicable law, sanctions, export controls, customs restrictions, or governmental requirements.

Where the parties have entered into a separate confidentiality or non-disclosure agreement, that agreement will govern confidential information.

In the absence of a separate agreement, OKIN will use reasonable care in handling non-public technical and commercial information clearly identified or reasonably understood to be confidential and supplied for the purpose of evaluating or performing a transaction.

Confidentiality obligations do not apply to information that is publicly available through no breach, independently developed, lawfully received from a third party without confidentiality restrictions, or required to be disclosed by law.

Unless otherwise agreed, all website content, including text, product descriptions, photographs, graphics, logos, trademarks, videos, technical materials, page layouts, and downloadable content, is owned by or licensed to Taiwan Okin Huasu Group Limited and is protected by applicable intellectual property laws.

“OKIN” and associated logos, product marks, and branding may not be used without prior written authorization.

Ownership of customer-specific drawings, designs, tooling, jointly developed engineering, improvements, custom formulations, or other transaction-specific intellectual property will be determined by the applicable written agreement.

You may not use this website in a manner that damages, disrupts, overloads, compromises, or attempts unauthorized access to the website, servers, databases, accounts, networks, or security systems.

You may not use malware, malicious scripts, unauthorized scraping, automated extraction, or similar methods to unlawfully collect website data or interfere with website operation.

To the maximum extent permitted by applicable law, this website and its content are provided on an “as is” and “as available” basis.

OKIN does not warrant that the website will be uninterrupted, error-free, free from all technical defects, or suitable as the sole basis for engineering or purchasing decisions.

Nothing on the website constitutes a product warranty unless expressly incorporated into a written transaction document.

To the maximum extent permitted by applicable law and except where otherwise expressly agreed in writing, OKIN will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from use of the website or from a commercial transaction, including loss of profit, revenue, production, business opportunity, goodwill, anticipated savings, or data.

Any transaction-specific liability cap, exclusion, indemnity, liquidated damages provision, or other risk allocation contained in an accepted quotation, sales contract, quality agreement, purchase agreement, or other written transaction document will prevail over this general clause.

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

To the extent permitted by applicable law, a customer is responsible for claims, losses, liabilities, damages, and reasonable costs arising from unlawful use of the website, violation of these Terms, or third-party rights claims caused solely by customer-provided designs, trademarks, instructions, or materials.

Personal information collected through this website is handled in accordance with our Privacy Policy.

Where terms conflict, the following order of precedence will generally apply unless the parties expressly agree otherwise in writing:

1. a signed sales contract, supply agreement, quality agreement, or other agreement expressly signed by both parties;
2. an accepted order confirmation, proforma invoice, approved specification, approved drawing, or transaction-specific written amendment;
3. an OKIN quotation expressly accepted for the relevant order;
4. these Terms and Conditions;
5. general website content.

Customer purchase order terms do not override OKIN terms merely by being printed on or incorporated into a purchase order unless expressly accepted by OKIN in writing.

Governing law, jurisdiction, arbitration, and dispute-resolution arrangements for a specific commercial transaction should be determined by the applicable quotation, sales contract, order confirmation, purchase agreement, or other written transaction document.

Where no transaction-specific dispute provision has been agreed, the parties should first attempt in good faith to resolve the dispute through commercial negotiation.

Nothing in these Terms prevents either party from seeking urgent or protective relief from a court or authority of competent jurisdiction where permitted by applicable law.

We may update these Terms and Conditions periodically to reflect changes in our website, products, commercial practices, or legal requirements.

Updated Terms will be published on this page with a revised “Last update” date. Changes will not retroactively modify a separately executed contract unless the parties agree in writing.
